ArtemisChat Terms of Service

1. Description of Service

ArtemisChat provides a multilingual communication platform that enables:

• Private messaging
• Group discussions (“Rooms”)
• Automated machine translation
• Secure document upload and storage (where available)
• Role-based account access

ArtemisChat provides communication infrastructure only.

ArtemisChat:

• Does not provide legal advice
• Does not provide certified translation services
• Does not verify the accuracy of user content
• Does not act as a law firm, translator, or professional advisor

You are solely responsible for your use of the Service.

2. Eligibility & Authority

You represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction).
• You have full authority to enter into binding agreements.
• If using the Service on behalf of an organization, you have authority to bind that organization.

You are responsible for all activity conducted under your account.

3. Account Security

You agree to:

• Maintain the confidentiality of your credentials
• Use strong passwords and enable security features where available
• Immediately notify us of unauthorized use

We are not liable for losses resulting from unauthorized access caused by your failure to secure your account.

4. Subscriptions, Fees & Billing

4.1 Subscription Plans

Access to certain features requires a paid subscription.

Plans may include limits such as:

• Character translation volume
• Storage capacity
• Number of users
• Feature access levels

We reserve the right to modify pricing upon notice.

4.2 Free Trials

If offered, free trials require a valid payment method.
Unless canceled before the trial period ends, your subscription will automatically convert to a paid plan.

4.3 Automatic Renewal

Subscriptions automatically renew unless canceled prior to the renewal date.

4.4 No Refunds

Except where required by law, all fees are non-refundable.

5. Acceptable Use

You agree not to use the Service to:

• Violate any law or regulation
• Transmit unlawful, fraudulent, defamatory, or harmful content
• Infringe intellectual property rights
• Distribute malware or exploit vulnerabilities
• Interfere with platform security
• Store illegal content

You are solely responsible for all content transmitted or stored.

We reserve the right to suspend or terminate accounts at our discretion for violations.

6. User Content & Data

You retain ownership of content you upload or transmit.

By using the Service, you grant ArtemisChat a limited license to:

• Store
• Transmit
• Display

your content solely to operate and improve the Service.

You are responsible for ensuring your use complies with:

• Client confidentiality rules
• Professional regulations
• Data protection laws

We do not monitor content except as required for security, legal compliance, or abuse prevention.

7. Translation Disclaimer

ArtemisChat uses automated machine translation systems.

You acknowledge:

• Translations are generated by automated software.
• Translations may be inaccurate, incomplete, or contextually incorrect.
• ArtemisChat makes no representation or warranty regarding translation accuracy.

You are solely responsible for verifying translations before relying on them.

For certified or legally binding translations, you must obtain professional human translation services.

8. Security

We implement commercially reasonable safeguards, including:

• Encryption in transit (HTTPS)
• Encryption at rest (where supported)
• Access controls
• Monitoring systems

However, no system can guarantee absolute security.

We are not liable for unauthorized access beyond our reasonable control.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTEMISCHAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY
• UNINTERRUPTED SERVICE

WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ARTEMISCHAT SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES
• INCIDENTAL DAMAGES
• CONSEQUENTIAL DAMAGES
• SPECIAL DAMAGES
• LOST PROFITS
• LOSS OF DATA
• BUSINESS INTERRUPTION

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO ARTEMISCHAT IN THE PRECEDING SIX (6) MONTHS, OR
(B) $100 USD.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the maximum permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Artemis Systems, LLC and its affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your content
• Your violation of these Terms
• Your violation of law or third-party rights

12. Termination

We may suspend or terminate your account for:

• Non-payment
• Violation of Terms
• Fraud
• Security risks
• Abuse of the platform

You may terminate your account at any time.

Termination does not relieve you of payment obligations incurred prior to termination.

13. Dispute Resolution & Arbitration

13.1 Informal Resolution

Before filing any claim, you agree to attempt informal resolution by contacting:

13.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in Delaware, United States.

Judgment on the award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AGREE THAT ANY CLAIM SHALL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Jury Trial Waiver

YOU WAIVE ANY RIGHT TO A JURY TRIAL.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

15. Changes to Terms

We may update these Terms at any time.

Updated Terms will be posted with a revised “Last Updated” date.

Continued use of the Service constitutes acceptance of the updated Terms.
